THIS SERVICE AGREEMENT dated this _____ day of _____ , 2011

BETWEEN:

BACKGROUND:

The Customer is of the opinion that the Service Provider has the necessary qualifications, experience and

abilities to provide services to the Customer. The Service Provider is agreeable to providing such services to

the Customer, on the terms and conditions as set out in this Agreement.

IN CONSIDERATION OF the matters described above and of the mutual benefits and obligations set forth in

This Agreement, the receipt and sufficiency of which consideration is hereby acknowledged, the parties to this

Agreement agree as follows:

Engagement

The Customer hereby agrees to engage the Service Provider to provide the Customer with services consisting of Installation of equipment for the purpose of internet access at speeds as described at www.redcoyote.com, equipment and signal to customer premises provided, and maintenance of that equipment and such other services as the Customer and the Service Provider may agree upon from time to time (the "Services"), and the Service Provider hereby agrees to provide the Services to the Customer.
Term of Agreement

The term of this Agreement will begin on the date of this Agreement and will remain in full force and effect for a period of 18 months subject to earlier termination as otherwise provided in this Agreement, with the said term being capable of extension by mutual written agreement of the parties.
Performance

Both parties agree to do everything necessary to ensure that the terms of this Agreement take effect.
Compensation

For the Services provided by the Service Provider under this Agreement, the Customer will pay to the Service Provider compensation in the amount of ____________ per month for __________ service as described at www.redcoyote.com. Compensation will be payable 30 days in advance at the beginning of each month.

Late Penalties

The following penalties will be imposed on the Customer for failing to pay the Service Provider in a timely fashion. Service will be paid 30 days in advance. If payment becomes

30 days past due a surcharge may be added. If payment becomes 60 days overdue service may be interrupted, and a charge of $250.00 can be assessed for termination fee, and equipment will be recovered or an additional fee of $250.00 will be assessed if equipment cannot be recovered in good working order, with no more than normal wear and tear, within 30 days of notice from Red Coyote IT LLC. The Service provider reserves the right to terminate the service for any reason with a three day written notice.
Expenses

The Service Provider will be reimbursed from time to time for all reasonable necessary expenses incurred by the Service Provider in connection with providing the Services hereunder. The Service Provider will furnish statements and vouchers to the Customer for all such expenses.
Notice

All notices, requests, demands or other communications required or permitted by the terms of this Agreement will be given in writing and either served personally, by email or by registered mail. The addresses for any notice to be delivered to any of the parties to this Agreement are as follows:

b.	Red Coyote IT LLC, PO Box 790160, Virgin, Utah, 84779, IT@redcoyote.com.

Additional Clauses

1.In the event of a lightning strike Red Coyote IT LLC will be responsible only for damage to the equipment owned by Red Coyote IT LLC

2. In the event that the signer of this contract should die the contract becomes null and void and their estate shall not be held responsible providing all equipment belonging to Red Coyote IT LLC shall be returned.

Currency

Unless otherwise provided for, all monetary amounts referred to herein will be paid in US dollars.
Termination of Agreement

The Service Provider may terminate this Agreement at any time by giving the Customer 3 days written notice. The obligations of the Service Provider under this Agreement will terminate upon the earlier of the Service Provider ceasing to be engaged by the Customer or the termination of this Agreement by the Customer or the Service Provider.
Governing Law It is the intention of the parties to this Agreement that this Agreement and the performance under this Agreement, and all suits and special proceedings under this Agreement, be construed in accordance with and governed, to the exclusion of the law of any other forum, by the laws of the State of Utah, without regard to the jurisdiction in which any action or special proceeding may be instituted.
